Terms of Service

1. Acceptance of Terms
By creating an account or using Gridwolf (gridwolf.com.au), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the service.
Gridwolf is operated by Joshua Mackay Pty Ltd (ABN 15 666 819 870), an Australian Proprietary Limited Company registered in Western Australia. References to “Gridwolf,” “we,” “us,” or “our” refer to Joshua Mackay Pty Ltd. References to “you” or “your” refer to the user of the service.
2. Service Description
Gridwolf is a software-as-a-service (SaaS) platform that helps brands create, develop, and schedule social media content. The service includes:
- AI-assisted content generation: Users input brand information and raw content ideas. Gridwolf uses third-party AI services (Anthropic's Claude API) to develop those ideas into platform-specific social media posts.
- Social media publishing: Users connect their social media accounts (Facebook, Instagram, LinkedIn, X/Twitter, Pinterest, YouTube) via OAuth, and Gridwolf publishes approved content to those platforms on their behalf.
- Content scheduling: Users can schedule posts in advance using a content calendar and manage their posting schedule.
- Brand management: Users can configure brand profiles, upload brand assets, and define tone and content preferences.
3. Account Responsibilities
- You must be at least 18 years of age to use Gridwolf.
- You must provide accurate and complete information when creating your account.
- You are responsible for maintaining the security of your account credentials.
- You must have the authority to connect any social media accounts you link to Gridwolf. You represent that you are the account owner or have been authorised by the account owner to connect and manage the account through Gridwolf.
- You are responsible for all content published through Gridwolf using your account, including AI-generated content that you have reviewed and approved for publication.
- You must review and approve content before it is published, unless you have explicitly opted into auto-publish features and accept responsibility for auto-published content.
- You must comply with each connected platform's terms of service, community guidelines, and advertising policies when using Gridwolf to publish content.
4. Content Ownership
Your Content
You retain full ownership of all content you input into Gridwolf, including your raw ideas, brand assets, documents, photos, and other materials. Gridwolf does not claim any ownership over your content.
AI-Generated Content
You own the AI-generated drafts and final posts created through Gridwolf. Once content is generated, it is yours. Gridwolf claims no ownership or intellectual property rights over content produced by the service for you.
Licence to Gridwolf
By using the service, you grant Gridwolf a limited, non-exclusive, revocable licence to process, store, and transmit your content solely for the purpose of providing the service. This includes sending your content to third-party AI services for content generation and to social media platforms for publishing. This licence terminates when you delete your account or remove the relevant content.
5. AI-Generated Content
Gridwolf uses artificial intelligence (Anthropic's Claude API) to generate content drafts based on your inputs. Please understand the following:
- AI-generated content is provided as drafts for your review. You are responsible for reviewing all content before publication.
- Gridwolf does not guarantee that AI-generated content will be accurate, factually correct, free of errors, appropriate for your audience, or compliant with any specific laws or regulations.
- While our AI is designed to avoid generating profane, discriminatory, or otherwise inappropriate content, no AI system is perfect. You should verify all drafts before publishing.
- You accept full responsibility for any content you approve and publish through the platform, whether it was AI-generated, human-written, or a combination of both.
6. Platform Compliance
Gridwolf integrates with third-party social media platforms via their official APIs. By using Gridwolf:
- You agree to comply with the terms of service, community guidelines, and advertising policies of every platform you connect through Gridwolf.
- Gridwolf operates within each platform's API terms of service and respects rate limits and usage policies.
- Gridwolf is not responsible for any account suspensions, bans, content removals, or penalties imposed by third-party platforms as a result of content you have published.
- Platform APIs may change, become temporarily unavailable, or restrict certain features. Gridwolf is not liable for disruptions caused by third-party platform changes or outages.
7. Acceptable Use
You agree not to use Gridwolf to:
- Publish or distribute illegal content, hate speech, harassment, threats, or spam.
- Publish content that infringes the intellectual property rights of others.
- Attempt to circumvent third-party platform rate limits, terms of service, or content policies.
- Engage in automated engagement activities such as fake likes, follows, comments, or any form of inauthentic behaviour. Gridwolf is a content publishing tool — it only publishes original content on your behalf.
- Use the service to impersonate others or misrepresent your identity or affiliations.
- Attempt to reverse-engineer, decompile, or exploit the Gridwolf platform or its underlying systems.
- Use Gridwolf in any way that violates applicable local, state, national, or international law.
We reserve the right to suspend or terminate your account if we determine, at our reasonable discretion, that you have violated these acceptable use terms.
8. Subscription and Billing
Plans and Pricing
Gridwolf is offered on a subscription basis. Available plans and pricing are displayed on our website. All prices are in Australian Dollars (AUD) unless otherwise stated.
Payment Processing
Payments are processed securely by Stripe. By subscribing, you authorise us to charge your chosen payment method on a recurring basis according to your selected plan. We do not store your full credit card details on our servers.
Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- Your subscription will remain active until the end of your current billing period.
- You will not be charged for subsequent billing periods.
- You will retain access to all features until the end of the paid period.
Refunds
If you cancel within 14 days of your initial subscription or a plan upgrade, you may request a full refund by contacting legal@gridwolf.com.au. After the 14-day period, no refunds will be issued for partial billing periods. This does not affect your rights under Australian Consumer Law.
Price Changes
We may update our pricing from time to time. If we change the price of your plan, we will give you at least 30 days' notice by email. The new pricing will apply from your next billing period after the notice period. If you do not agree to the new pricing, you may cancel your subscription before the new pricing takes effect.
9. Limitation of Liability
To the maximum extent permitted by law:
- Gridwolf is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the service's reliability, availability, or fitness for a particular purpose.
- We are not liable for any content published through the service that you have reviewed and approved.
- We are not liable for third-party platform outages, API changes, deprecations, or any actions taken by platforms against your accounts.
- We are not liable for the accuracy, quality, or appropriateness of AI-generated content.
- Our maximum aggregate liability to you for any claims arising out of or related to the service is limited to the total fees you have paid to Gridwolf in the 12 months preceding the claim.
- In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including the Australian Consumer Law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Joshua Mackay Pty Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Content you publish or distribute through Gridwolf.
- Your violation of these Terms of Service.
- Your violation of any third-party platform's terms of service or policies.
- Your violation of any applicable law or regulation.
- Any claim that content you published through Gridwolf infringes the intellectual property or other rights of a third party.
11. Termination
By You
You may terminate your account at any time through your account settings or by contacting us at legal@gridwolf.com.au. We recommend exporting any data you wish to keep before deleting your account.
By Gridwolf
We may suspend or terminate your account if you violate these Terms of Service, engage in activity that harms other users or the platform, or if we are required to do so by law. Where possible, we will provide notice and an opportunity to export your data before termination.
Effect of Termination
Upon termination, your right to access the service ceases immediately. Your data will be deleted in accordance with our Privacy Policy data retention schedule— all associated data is permanently deleted within 30 days, and backup data within 90 days.
12. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Western Australia, Australia. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Western Australia.
13. Changes to These Terms
We may update these Terms of Service from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of Gridwolf after the effective date of updated terms constitutes your acceptance of the new terms. If you do not agree to the updated terms, you should stop using the service and cancel your subscription.
